Introduction

Snaprig provides a platform for truck drivers to capture and share images of trailers and documents with trucking company agents. The mobile application for truck drivers is free of charge, while the web application for agents requires a subscription based on the volume of images transmitted. By downloading images or documents or accessing and using either the Snaprig mobile application or the associated web services of Owlmob LLC ("Snaprig"), (collectively "Service"), you agree to be bound by the following terms and conditions ("Terms of Service").

Owlmob LLC reserves the right to update and change the Terms of Service sporadically without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of the terms below will result in the termination of your Account. While Snaprig prohibits such conduct and content on the Service, you understand and agree that Snaprig cannot be responsible for the content posted on the service, and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

This Agreement shall be governed by and construed under the laws of the State of Michigan, without regard to that state's conflict of laws principles. You agree that any dispute arising related to the Service shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Michigan.

Eligibility

• Age requirement: You must be at least 18 years of age to use the Snaprig services. By agreeing to these Terms & Conditions, you represent and warrant that you are of legal age to form a binding contract with Owlmob LLC.

• Human Users Only: Registration and creation of accounts must be done by individuals ("humans"). Accounts registered by "bots" or other automated methods are strictly prohibited. Additionally, it is forbidden to programmatically process emails that include content or links to content from Snaprig.

• Accurate Registration Information: During the signup process, you are required to provide your legal full name, a valid email address, and any other information necessary to complete the registration. This information must be accurate and kept up-to-date.

• Individual Account Use: Each login credential must be used by only one individual. Sharing a single login among multiple users is not allowed.

• Security Responsibility: You are responsible for maintaining the confidentiality and security of your account and password. Snaprig is not liable for any loss or damage resulting from your failure to secure your account credentials.

• Account Activity: You are accountable for all activities that occur under your account, including content posted and actions taken by others who have access to your account, whether they are authorized by you or not.

• Single Account Limitation for Free Services: Individuals or legal entities are prohibited from using a free service to manage content across multiple email addresses. Each free account must be linked to a single email address.

• Compliance with Laws: You may not use the Service for any illegal or unauthorized purposes. You must comply with all local, state, national, and international laws applicable to your use of Snaprig, including copyright and other intellectual property laws.

Payments

Subscription Fees: Snaprig offers subscription-based services through its web application. Fees are based on the volume of images transmitted and are billed on a monthly basis. All fees are due at the time of invoicing and are non-refundable, including in cases where your Service usage is suspended or terminated before the end of the billing period.

Payment Processor: We use Stripe, a third-party service, to process your payments securely. By subscribing to our services, you agree to provide Snaprig accurate and complete information about you and your business, and you authorize us to share it and transaction information related to your use of the payment processing services provided by Stripe.

Stripe's Terms: All payment processing services are provided by Stripe and are subject to the Stripe Terms of Service. By agreeing to these terms or continuing to operate as a Snaprig user, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Snaprig enabling payment processing services through Stripe, you agree to provide Snaprig accurate and complete information about you and your business, and you authorize Snaprig to share it and transaction information related to your use of the payment processing services provided by Stripe.

Updating Payment Information: You are responsible for providing and maintaining current, complete, and accurate billing and payment information with Snaprig. If your payment information is outdated or incorrect, you may incur additional fees or interruptions in your service.

Delinquent Accounts: Snaprig reserves the right to suspend or terminate access to the Services for accounts that are delinquent. This suspension or termination will not relieve users of the obligation to pay any outstanding fees associated with the account.

Cancellation and Termination

User-Initiated Cancellation: You may cancel your Snaprig subscription at any time. To cancel your subscription, please follow the cancellation procedures detailed in your account settings on our website. Once the cancellation is processed, your account will no longer be charged, starting with the next billing cycle. Please note that upon cancellation, your access to the service will continue until the end of the current paid billing period.

Effect of Cancellation: Upon cancellation, your account will be deactivated and you will no longer have access to the Snaprig services after the end of the current billing cycle. Any data or content stored in your account may be irretrievably lost.

Snaprig-Initiated Termination: Snaprig reserves the right to suspend or terminate your account and refuse any current or future use of the Services if you fail to comply with these Terms or if activities occur on your account that, in our sole judgment, would or might cause damage to or impair the Services or infringe or violate any third-party rights, or violate any applicable laws or regulations.

Notice of Termination: In the event of termination initiated by Snaprig, we will provide you with notice of termination at your registered email address. Snaprig reserves the right to terminate your account immediately, without notice, under urgent circumstances such as legal compliance, system security breaches, or similar situations.

No Refunds: Payments are nonrefundable, and there are no refunds or credits for partially used periods. Following cancellation or termination of the subscription, you will not receive any refund for any charges already billed to your account.

Data Retention: Upon termination, your account data will be retained or destroyed according to our data retention policies and applicable laws. You may request data deletion or export by contacting our support team within the notice period provided at the time of termination.

Price Changes

Owlmob LLC reserves the right to adjust the pricing for our services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes will take effect following an email notice to you or through a prominent notice on our Service.

Should there be a price increase, we will provide you with at least 30 days' notice before the change is applied, thereby giving you the opportunity to cancel your subscription before such a change becomes effective. Your continued use of Snaprig services after the price change comes into effect constitutes your agreement to pay the modified amount.

Copyright and Content Ownership

Ownership of Materials: All materials uploaded to or transmitted through Snaprig by users remain the property of the respective copyright owners. Users are solely responsible for ensuring they possess the necessary rights or permissions to upload and share any content through our services.

User Responsibilities: By uploading or sharing content on Snaprig, you warrant and represent that you own the copyright or have obtained all necessary licenses or permissions to use and share the content. You also agree not to upload, post, email, transmit, or otherwise make available any content that infringes on the intellectual property rights of any party.

License to Use: By uploading content to Snaprig, you grant Owlmob LLC a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, modify (for example, reformatting, incorporating into advertisements or other works), communicate, and distribute your content. This license is for the sole purpose of enabling Owlmob LLC to operate and improve the services, to promote Snaprig, and to develop new services. This license continues even if you stop using our services unless you delete the content or close your account.

Content Removal: Owlmob LLC reserves the right, but not the obligation, to monitor and edit or remove any content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

Indemnification: You agree to defend, indemnify, and hold harmless Owlmob LLC, its contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or from or in connection with any content that you upload, post, transmit, or otherwise make available through the Service. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

No Liability for Third-Party Content: Owlmob LLC is not liable for any errors or omissions in any content, nor for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the services. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications posted via the services or endorse any opinions expressed via the services.

General Conditions

• Service Provision: Your use of Snaprig is at your sole risk. The service is provided on an "as is" and "as available" basis. Snaprig does not guarantee that the service will meet all of your requirements or that its operations will be uninterrupted or error-free.

• Technical Support: Technical support is available to all users and is primarily provided through email. Additional support terms or conditions may apply for paying subscribers or under separate agreements.

• Use of Third-Party Services: Snaprig uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the service. By using Snaprig, you consent to the transfer, storage, and processing of your data by these third-party providers.

• Restrictions on Use: You may not modify, adapt, or hack the Service or falsely imply that another website is associated with Snaprig. Any unauthorized use of the service or its related services is expressly prohibited.

• No Unauthorized Copying or Reselling: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission from Owlmob LLC.

• Content Monitoring: We may, but have no obligation to, monitor content or remove accounts and content that we determine, in our sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or that violates any party’s intellectual property or these Terms of Service.

• Prohibited Conduct: Verbal, physical, written, or other abuse (including threats of abuse or retribution) of any Snaprig customer, employee, member, or officer will result in immediate account termination.

• Data Transmission and Encryption: You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices.

• No Liability for Data Loss: You expressly understand and agree that Snaprig shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use or the inability to use the service.

• Limitation of Liability: In no event will Snaprig's aggregate liability for all claims relating to the services exceed the greater of $100 USD or the amount you paid Snaprig, if any, in the last 12 months.

• Governing Law and Jurisdiction: These terms shall be governed by the laws of the State of Michigan, without regard to its conflict of laws provisions. Any disputes arising from or relating to the Service will be adjudicated in the courts of Michigan.

• Modifications to Service and Prices: Snaprig reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Prices of all services are subject to change upon 30 days' notice from us.
